    Key facts of the case:

    The case concerns a fine received by a limited liability company for breaches of the national competition law. The company was fined for unlawfully establishing buying and selling prices, in coordination with another company, in breach of Law no. 21/1996 Art. 5(1). The contravention occurred in 2007 and the fine was applied in 2015, based on Art 51 of Law no. 21/1996 which establishes that the fine to be applied is up to 10% of the total turnover from the previous fiscal year, the one prior to the year in which the fine is applied. Consequently, the fine was calculated based on the turnover from 2014.

    The company challenged among other things the legality and proportionality of the fine, claiming that the fine was in breach of Art 49 of the Charter and that the fine applied should have been calculated according to the company turnover from the moment the contravention, from 2007 and not 2014. 

    Key legal question raised by the Court:

    The main legal question is whether a provision which establishes fines based on the turnover from the year before the application of the sanction, and not the turnover from the year in which the contravention occurred is in breach of Art 49 of the Charter.

    Outcome of the case:

    The High Court of Cassation and Justice rejected the claims of the applicant and found that national law which applies fines based on the turnover from the year prior to the sanctioning date respects the legality and proportionality criterion enshrined in the Charter.

    According to the provision Art. 49 para. (1) of the Charter, no one can be convicted for an action or omission which, at the time of its commission, does not constitute a crime according to domestic law or international law. Likewise, a greater penalty than that applicable at the time of the crime cannot be imposed. If, after the crime has been committed, the law provides for a lighter punishment, the latter is applied. 

    According to the provisions of Art. 49 para. (3) of the Charter, the punishments must not be disproportionate to the crime. 

    The High Court notes that the first court ruled on the provisions invoked by the plaintiff in the action, regarding the proportionality of the sanction, however, the judge of the case correctly showed that the reference to the turnover from 2014 and not to the turnover from 2007, does not constitute an element of proportionality of the sanction, but of its legality. 

    In the appeal, the appellant reiterates the aspects already mentioned, considering that the reporting of the sanction to the turnover of 2014 violates the principle of proportionality, but also the protection of property rights, since the turnover and the income obtained in a year that is not (relevant) are related to the commission of the deed and violates Art. 49 of the Charter. 

    Against these claims of the appellant, it is noted that, by Decision no. 191/19.04.2019 pronounced by the Constitutional Court, as a result of the referral of the Bucharest Court of Appeal, in the pending file, the exception of unconstitutionality, raised by the plaintiff, of the provisions of Art. 55 para. (1) from Law no. 21/1996, former Art. 51 para. (1) and Art. 53 para. (1), by which the legislator established the fine in relation to the total turnover achieved in the financial year prior to sanctioning the anti-competitive acts. 

    The Constitutional Court reviewed the constitutionality and from the perspective of Art. 49 of the Charter, regarding the principles of legality and proportionality of crimes and punishments, but also of Art. 1 para. (1) regarding the respect of property from the first additional Protocol to the Convention for the Protection of Human Rights. 

    In this sense, the Constitutional Court showed that, Art. 1 para. (1) of the first Additional Protocol to the Convention allows the contracting states to adopt the laws they consider necessary to ensure the payment of fines or other contributions, and the jurisprudence of the CJEU exemplified by the judgments in Cases T-386/10; C-429/07 or T-59/02 validated the sanction with a fine depending on the total turnover on the date of application of this sanction. 

    It was also shown that the national legislation transposes the European provisions on competition, and the interpretation of the law is given to the courts. 

    Therefore, the High Court considers that the fine as it was applied in accordance with Art. 55 para. (1) from Law no. 21/1996 is proportional to the committed act, the analysed text was not declared unconstitutional, and the CJEU jurisprudence exemplified by the Constitutional Court is in the same sense, without the national or European provisions being contrary to those regulated by Art. 1(1) of the Additional Protocols to the Convention and Art. 49 of the Charter.

    Potrivit disp. art. 49 alin. (1) din Cartă, nimeni nu poate fi condamnat pentru o acţiune sau omisiune care, în momentul săvârşirii nu constituie infracţiune potrivit dreptului intern sau dreptului internaţional. De asemenea, nu se poate aplica o pedeapsă mai mare decât cea aplicabilă la momentul săvârşirii infracţiunii. În cazul în care, ulterior săvârşirii infracţiunii, legea prevede o pedeapsă mai uşoară, se aplică aceasta din urmă. 

    Conform prevederilor art. 49 alin. (3) din Cartă, pedepsele nu trebuie să fie disproporţionate faţă de infracţiune. 

    Înalta Curte reţine că prima instanţă s-a pronunţat asupra celor invocate de reclamantă prin acţiune, referitoare la proporţionalitatea sancţiunii însă, judecătorul fondului a arătat în mod corect că raportarea la cifra de afaceri din anul 2014 şi nu la cifra de afaceri din anul 2007, nu constituie un element de proporţionalitate a sancţiunii, ci de legalitate a acesteia. 

    În calea de atac a recursului, recurenta-reclamantă reiterează aspectele deja învederate, considerând că raportarea sancţiunii la cifra de afaceri din anul 2014 încalcă principiul proporţionalităţii, dar şi protecţia dreptului de proprietate, întrucât cifra de afaceri şi veniturile obţinute într-un an care nu au legătură cu săvârşirea faptei încalcă disp. art. 49 din Cartă. 

    Faţă de aceste susţineri ale recurentei-reclamante, se reţine că, prin Decizia nr. 191/19.04.2019 pronunţată de Curtea Constituţională, ca urmare a sesizării Curţii de Apel Bucureşti, în dosarul pendinte, s-a respins ca neîntemeiată excepţia de neconstituţionalitate, ridicată de reclamantă, a prevederilor art. 55 alin. (1) din Legea nr. 21/1996, fost art. 51 alin. (1) şi art. 53 alin. (1), prin care legiuitorul a stabilit amenda contravenţională în raport cu cifra de afaceri totală realizată în anul financiar anterior sancţionării faptelor anticoncurenţiale. 

    Curtea Constituţională a analizat excepţia de neconstituţionalitate şi din perspectiva disp. art. 49 din Cartă, referitoare la principiile legalităţii şi proporţionalităţii infracţiunilor şi pedepselor, dar şi a art. 1 parg. 1 cu privire la respectarea bunurilor din primul Protocol adiţional la Convenţia pentru apărarea drepturilor omului. 

    În acest sens, Curtea Constituţională a arătat că, art. 1 parg. 1 din primul Protocol adiţional la Convenţie permite statelor contractante să adopte legile pe care le consideră necesare pentru a asigura plata amenzilor ori a altor contribuţii, iar jurisprudenţa CJUE exemplificată prin hotărârile din Cauzele T-386/10; C-429/07 sau T-59/02 a validat sancţiunea cu o amendă în funcţie de cifra totală de afaceri la data aplicării acestei sancţiuni. 

    S-a mai arătat că, legislaţia naţională transpune prevederile europene în materie de concurenţă, iar interpretarea legii este dată în competenţa instanţelor de judecată. 

    Prin urmare, Înalta Curte apreciază că amenda astfel cum a fost aplicată în conformitate cu disp. art. 55 alin. (1) din Legea nr. 21/1996 este proporţională cu fapta săvârşită, textul analizat nu a fost declarat neconstituţional, iar jurisprudenţa CJUE exemplificată de Curtea Constituţională este în acelaşi sens, fără ca prevederile naţionale sau europene să fie contrare celor reglementate de art. 1 parg. 1 din Protocoalele adiţionale la Convenţie şi art. 49 din Cartă.
